Castel Group Acquires Majority Stake in Guinness Ghana in $81M Deal

In a landmark $81 million transaction, Castel Group has completed its acquisition of an 80.4% majority stake in Guinness Ghana Breweries PLC (GGB PLC) from Diageo, marking a major shift in Ghana’s beverage sector and strengthening Castel’s footprint across Africa.

The deal, finalized on July 3, 2025, gives Castel operational control of Guinness Ghana, while Diageo retains ownership of its key brands—Guinness, Malta Guinness, Orijin, Smirnoff Ice, and Alvaro—under a long-term licensing and royalty agreement.

A Strategic Move for Both Giants

Castel’s CEO Gregory Clerc affirmed the group’s confidence in Ghana’s economic future:

“With our heritage and regional network, we aim to enhance Guinness Ghana’s operations and legacy. Ghana is now Castel’s 22nd market in Africa.”

Meanwhile, Diageo Africa President Dayalan Nayager described the sale as part of a flexible, asset-light strategy that allows Diageo to focus on brand building and innovation while leveraging local partnerships for scale.

What This Means for Ghana’s Beverage Industry

  • No disruption to operations: Guinness Ghana retains its existing structure, workforce, and Ghana Stock Exchange listing.

  • Long-term local production: Diageo brands will continue to be brewed locally under Castel’s operational management.

  • Investor confidence: The deal signals renewed investor trust in Ghana’s industrial and consumer market outlook.

  • Broader Diageo strategy: This follows similar moves in Nigeria (Tolaram) and Cameroon (Castel).

Entrepreneurial Outlook: Africa’s Beverage Market Evolves

This acquisition highlights the rise of strategic regional operators like Castel, capable of absorbing legacy assets while fueling sustainable, localized growth across Africa.

As Castel deepens its presence across 22 African countries, the acquisition reinforces its ambition to be a key player in African FMCG (Fast-Moving Consumer Goods), tapping into youthful demographics, urbanization, and regional trade integration.
